By-Laws of The American Color Print Society






Article I


The name of this Corporation shall be "The American Color Print Society" also referred to as the "ACPS" .


Article II - Object


Section 1
The object of this Corporation shall be to foster and promote the Graphic Arts; to encourage and promote exhibitions of original color prints; to educate the art student and public in various techniques of original color print making.
No part of the assets of the Corporation shall benefit any individual , and no part of the direct or indirect activities of this Corporation shall consist in carrying on propaganda; or otherwise attempting to influence legislation, or participating in, or intervening in[including the publication and distribution of statements], any political campaign on behalf of any candidate for public office. Not withstanding any other provision hereof, this Corporation shall not conduct or carry on any activities not permitted to be conducted or carried on by an organization exempt under section 501 [c] [3] of the Internal Revenue Code and its regulations as they now exist or as they may hereafter be amended for any organization contributions to which are deductible under section170 [c] [2] of such Code and Regulations as they may now exist or as they may hereafter be amended. In the event of the liquidation or termination of the Corporation, all of the assets remaining shall be distributed to such organizations as are exempt under the Internal Revenue Code, Section 501 [c] [3] which organization performs its work exclusively for charitable, religious, scientific, or education activity

Section 2
By-law Amendments:
The By-Laws of this Organization are amended, as provided in the original By-Laws, due to two primary factors:
a-The ACPS has increased membership and has developed as a National Organization with members across the United States.

b- Technological Innovations have altered processes; the advancement of electronics has given rise to new artistic mediums such as ÒComputer PrintsÓ which fulfill the standards required of all fine art graphic prints


Article III - Membership

Section I
[A] Artist Membership: Prospective members shall apply, agreeing to meet with the Officers and the Executive Board at a mutually agreeable time or arrange for an application process
1-Prospective members residing within a reasonable travel distance will meet personally and will provide a minimum of 5 examples of their recent work, each distinct and individual, to be evaluated by the Board.
2-Also provided will be a printed resume, including education, prior exhibitions of art works, including open/judged exhibitions during the past five [5] years: applicants will have exhibited In 3 juried/judged exhibitions during the previous 5 years.
3-The candidate will offer a short verbal presentation regarding art/work philosophy, views, etc as well as respond to questions about their art.
[B]There will be an appointed day and time for the presentation with the closing time to be one hour after the opening time.
1-This will insure privacy time for the Board to consider the applicantÕs work and presentation, to have a private evaluation prior to their voting to accept or reject the applicant for membership.
2-The applicant will be notified upon their return after an hour.

Section 2- National applicants:
[A] Candidates for membership who reside outside the Philadelphia area, who reside too far away to travel to a meeting:
1- will submit prints with 5 distinct and separate examples of their art work and meet the same requirements as local candidates;
2- will also submit a written discussion with technical details, size, materials used and production methods, etc.
3- will also submit a resume of education, art experiences, a listing of prior exhibits, any honors or recognitions including open or judged shows; and any other relevant information.
4-will submit an artistÕs statement of goals philosophies ,etc.
5- must also be responsible for return of submitted prints, ie; must include return shipping costs/label.

Section 3-Evaluation of Candidates for membership:
[A] Submitted Work will be presented to a meeting of at least 5 Board Members
[B] 2/3rds of the Board present at evaluation will have to approve the applicant for admission of the candidate to membership in the ACPS.

[C] Dues: All new members shall pay annual dues, amount to be determined by the Board and the Officers, depending upon the time of year.


Section 4-Associate Student Membership

[A] Provision shall be made for advanced/graduating Art students to be invited to participate in activities of ÒACPSÓ. Invitations will be offered at the discretion of the Board.

[B]Activities can include: non-voting attendance at meetings, exhibiting in ACPS exhibitions and other events as determined by the Board.


Article IV Officers-Meetings

Section 1-The officers shall be: President; Vice President; Treasurer; Secretary; and an Executive Board. Board members shall include all Officers and other members as determined by necessity.
Section 2- Meetings shall be scheduled on a regular basis, as determined by the Board of Directors. The location will also be determined by the Board.




Article V - Duties of Officers

Section I- The President, and Vice President, shall perform the usual duties pertaining to such office

Section II-The Secretary shall keep minutes of meetings and record all events which need to be documented or saved.

Section III Ð The Treasurer shall receive all monies of the Corporation, keep correct accounts of receipts and expenditures and pay all bills. The books shall be audited annually by two [2] members of the Board appointed by the President: additionally the Treasurer shall have an annual year end printed financial statement presented for review.

Section IV- The Board of Directors shall be composed of the Officers and the Executive Board.


Article VI - Exhibitions

Section 1-There shall be both Members only Exhibitions and Open Exhibitions juried by an impartial juror: jurors shall be chosen by the Board.

Section 2-Annual Members exhibitions shall be proposed by the Officers or Board: monetary awards or honors to be decided by an impartial Juror from outside the Society.



Article VII - Elections

Section 1- Effective 2 years after the approval of 2009 modifications to the By-Laws, for the year 2012, Officers and the Board will serve as elected.

Section 2- An election will be held in 2011 with the newly elected Officers and Board to take office in the Autumn, September of 2011; and henceforth every two[2] years. Elections will alternate: selecting President and Secretary; Vice President and Treasurer, assuring a continuation of smooth administrative effectiveness.

Section 3- Nominations and Candidates will have been made by the Officers and the Board, in collaboration, with nominations solicited from/with all members in good standing.

Section 4-The election will be by a ballot to be distributed with the bill for dues in 2011. This procedure will be done repeatedly in odd years. .

Section 5- If vacancies occur then the Board shall appointment a temporary officer to fulfill the vacancy for the remainder of the term.

Section 6-Elections/voting will be by ballot in the Springtime of 2011; and henceforth every 2 years.


Article VIII -Dues

Membership dues shall be determined by the Officers and the Board, and will be billed by the Treasurer yearly.


Article IX- Amendments

Amendments to these By-Laws may be proposed in writing at an Officers/Board meeting, and may be adopted by a [2/3] two thirds vote of the members present at a subsequent meeting.


Article X

All Current members of The American Color Print Society who are in good standing will remain Members in Good Standing.

All Officers and Board Members will remain in their positions until after the elections of 2011, should they so wish.
